1. About Us

The Services are provided by S Ludens FZCO, a Free Zone Company registered in the Dubai Multi Commodities Centre (DMCC), United Arab Emirates, under license number DMCC195008 (the “Company”, “we”, “us”, or “our”).

2. Service Description

The Company operates Use My Track, a music promotion platform that connects independent artists and music creators with a global community of listeners who interact with music releases through streaming platforms and social media.

Our Services include but are not limited to:

• Spotify promotion packages — campaigns designed to deliver streams, saves to personal playlists, re-listens, and artist follows from real listeners
• Video campaigns (TikTok / Reels / Shorts) — campaigns where community members publish short-form video content featuring the artist’s tracks
• Additional related promotional services as offered on the Website

Each package includes a specific scope of work, listener engagement volume, and expected delivery timeline, as described on the Website at the time of purchase.

3. No Guarantee of Results

The music promotion industry is influenced by many factors beyond our control, including streaming platform algorithms, audience preferences, and the quality and timing of the music itself. While we make best efforts to deliver high-quality promotion campaigns, we do not guarantee:

• Specific number of streams, saves, or follows beyond the package specifications
• Placement in editorial playlists curated by streaming platforms
• Algorithmic recommendations such as Discover Weekly, Release Radar, or similar
• Chart rankings or virality
• Long-term audience growth or revenue
• Any specific commercial outcome

Results may vary depending on the genre, track quality, market conditions, and many other factors. By purchasing a package, you acknowledge and accept that promotional results cannot be guaranteed.

4. Eligibility

To use our Services, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Comply with all applicable laws and regulations of your jurisdiction
• Hold all necessary rights, licenses, and permissions for the music or content you submit for promotion

You confirm that any music or content submitted for promotion is your original work or that you have obtained all required rights to use, distribute, and promote it.

5. Payments

5.1. Payment Processors

Payments for our Services are processed through:

• Stripe — for credit and debit card payments
• NOWPayments — for cryptocurrency payments (USDT, BTC, ETH, and other supported assets)

By making a payment, you agree to the terms and privacy policies of the respective payment processor in addition to these Terms.

5.2. Pricing

All prices are listed in US Dollars (USD) on the Website. The price displayed at the time of purchase is the final price you agree to pay. Cryptocurrency payments are calculated based on the exchange rate at the moment of transaction, as determined by NOWPayments.

5.3. Payment Confirmation

Services are activated only after payment is fully confirmed. For cryptocurrency payments, confirmation depends on the relevant blockchain network and typically takes between several minutes to a few hours.

5.4. Currency Conversion and Network Fees

For cryptocurrency payments, the customer is responsible for any network (gas) fees required to send the payment. Any conversion fees or exchange rate differences are processed by NOWPayments.

6. Refund Policy

6.1. Cancellation Before Campaign Start

You may request a full refund within 24 hours of purchase, provided that the campaign has not yet started. Refund requests must be sent to support@usemytrack.com with your Order ID.

6.2. After Campaign Start

Once a campaign has been launched and our community begins performing promotional activities, refunds are generally not available, as the Services have been partially or fully rendered.

6.3. Service Failure on Our Side

If we fail to deliver the contracted Services due to technical issues on our side and cannot resolve them within a reasonable time, you may be eligible for a full or partial refund at our discretion.

6.4. Cryptocurrency Payments

Refunds for cryptocurrency payments are issued in the same cryptocurrency originally received, at the exchange rate at the time of refund processing. Refunds are sent to the address from which the original payment was received, unless otherwise agreed in writing.

6.5. Chargeback Policy

Initiating a chargeback through your bank or card issuer without first contacting our support team may result in suspension of your account and forfeiture of any pending Services. We are committed to resolving disputes directly — please contact us at support@usemytrack.com before initiating any chargeback procedures.

7. User Obligations and Prohibited Use

By using our Services, you agree that you will NOT:

• Submit music or content that infringes upon the intellectual property rights of others, including copyright, trademark, or moral rights
• Submit content that promotes violence, hatred, terrorism, discrimination based on race, religion, gender, sexual orientation, or any other protected category
• Submit content that exploits minors or depicts illegal activities
• Use the Services to engage in money laundering, terrorism financing, fraud, or any other illegal activity
• Attempt to manipulate streaming platforms in ways that violate their terms of service beyond the scope of legitimate promotion
• Use bots, automated scripts, or fraudulent methods to interact with our Services
• Misrepresent your identity, ownership of the submitted content, or any other material fact
• Reverse engineer, decompile, or attempt to extract source code from our software or Services
• Resell our Services to third parties without our prior written consent

We reserve the right to refuse, suspend, or terminate Services for any user found to be in violation of these obligations, without refund.

8. Anti-Money Laundering (AML) and Compliance

S Ludens FZCO is committed to complying with applicable Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) regulations in the United Arab Emirates and other relevant jurisdictions.

By using cryptocurrency payment methods, you confirm that:

• The funds used for payment are legitimately obtained
• You are the rightful owner of the wallet or account from which payment is made
• You are not subject to any sanctions imposed by the United Nations, the European Union, the United States, the United Kingdom, or the United Arab Emirates

We reserve the right to:

• Request additional verification of your identity, source of funds, or other relevant information when required by law or our internal compliance procedures
• Refuse or refund any transaction we deem suspicious or non-compliant with applicable regulations
• Report suspicious transactions to relevant authorities in accordance with applicable laws
• Suspend or terminate accounts found to be in violation of AML/CTF requirements

9. Intellectual Property

9.1. Our Content

All content on the Website, including logos, designs, text, graphics, and software, is the intellectual property of S Ludens FZCO or its licensors and is protected by applicable copyright and trademark laws.

9.2. Your Content

You retain ownership of all music and content you submit for promotion. By submitting content to us, you grant S Ludens FZCO a non-exclusive, worldwide, royalty-free license to use, distribute, display, and promote your content solely for the purpose of providing the Services you have purchased.

This license terminates when your campaign is completed, except for record-keeping and historical reporting purposes.

10. Privacy and Data Protection

We process personal data in accordance with our Privacy Policy, available at usemytrack.com. The Privacy Policy describes what information we collect, how we use it, with whom we share it, and your rights regarding your data.

We comply with applicable data protection laws, including but not limited to:

• The UAE Personal Data Protection Law (PDPL)
• The European Union General Data Protection Regulation (GDPR) for users in the EU
• The Brazilian General Data Protection Law (LGPD) for users in Brazil

11. Service Availability

We strive to maintain the Website and Services available 24/7, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any losses resulting from such modifications or discontinuation.

Scheduled maintenance, technical issues, third-party platform changes (such as Spotify, TikTok, or payment processors), or force majeure events may temporarily affect Service availability.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Services are provided “as is” and “as available”, without warranties of any kind
• S Ludens FZCO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or reputation
• Our total aggregate liability for any claim arising from or related to these Terms or the Services shall not exceed the amount paid by you for the specific package giving rise to the claim
• We are not responsible for the actions or omissions of third-party platforms (including Spotify, TikTok, Instagram, YouTube, payment processors, or other services)

13. Indemnification

You agree to indemnify and hold harmless S Ludens FZCO, its directors, officers, employees, and partners from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

• Your breach of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations
• The content you submit for promotion

14. Termination

We may suspend or terminate your access to the Services at any time, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We suspect fraudulent, abusive, or illegal activity
• We discontinue the Services

Upon termination, any unfulfilled obligations regarding active campaigns will be addressed in accordance with our Refund Policy. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall remain in effect.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the “Last updated” date at the top of these Terms
• Notify users via email or a prominent notice on the Website at least 30 days before the changes take effect

Continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.

16. Governing Law and Dispute Resolution

16.1. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles.

16.2. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties.

If the dispute cannot be resolved through negotiation within 60 days, it shall be submitted to the exclusive jurisdiction of the DMCC Disputes Tribunal or the courts of the Dubai International Financial Centre (DIFC), as applicable to the nature of the dispute.

16.3. Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action.

17. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, internet outages, third-party platform changes, or pandemics.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any specific terms applicable to particular Services, constitute the entire agreement between you and S Ludens FZCO regarding your use of the Services and supersede all prior or contemporaneous communications and proposals.
